# MEMORY.md — Harper Long-Term Memory

## First Session — 2026-02-18
- First direct chat with Michael. He sends voice notes from Telegram.
- He's glad to have me online — was down for ~2 days.
- Irish accent, direct communicator, doesn't want waffle.

## Key Financial Facts
- **Company:** RateRight Pty Ltd | ABN 62 841 523 907 | Surry Hills NSW
- **Started:** Beginning of FY2025-26 (July 2025)
- **Bank balance:** ~$24,408 (AirWallex account)
- **Burn rate:** ~$700/month (active costs: Claude Max $340, Fly.io $189, Apollo $85, Twilio $76, ElevenLabs $22, Xero $10, Google Workspace $5)
- **Runway:** ~3 years
- **Revenue model:** $50/hire flat fee, UNLIMITED DURATION, no ongoing fees. Workers pay $0. One-time payment per match.
- **Breakeven:** 15 hires/month at net $48.80/hire after Stripe fees ($700 burn ÷ $48.80 = 14.3 → 15)
- **Backing:** Father in Ireland — family money, capital preservation critical
- **Banking:** AirWallex (Michael to give access)
- **Accounting software:** Xero (has it, doesn't use it)
- **Accountant:** None — self-lodging. I do 95% of prep, Michael clicks submit.

## Tax & Compliance Status
- **GST:** NOT registered. Not required until $75K turnover.
- **BAS:** NOT REQUIRED. Not GST-registered, no employees, no PAYG. Michael confirmed — stop flagging as task/blocker.
- **Company tax return:** First one due after June 30, 2026 (FY2025-26).
- **R&D Tax Incentive:** 43.5% refundable offset. $20K minimum spend threshold. Registration deadline for FY2025-26 is 30 April 2027.
- **Labour hire licensing:** NOT needed (RateRight doesn't pay workers).
- **Sham contracting:** LOW risk (construction tradies excluded).

## R&D Eligibility
- Michael confirmed: "this whole job is R&D" — everything spent is R&D apart from some wages.
- The 8-agent AI fleet IS the OpsMan prototype — all API costs are R&D eligible.
- Four systems all qualify: RateRight, OpsMan, Growth Engine, Phone AI.
- Need to build formal R&D activity log with technical descriptions.

## Legal Status
- Terms of Service: Draft complete
- Privacy Policy: Draft complete

## Grant Pipeline
- **MVP Ventures NSW Round 3:** $20-75K — APPROVED by Michael. Opens 9 March, closes 5 April. All 6 Harper docs drafted and ready. Blocked on Michael for Letters of Intent and ADI bank account. Target: submit day 1.
- **TechVouchers (BBIP):** Up to $50K matched — rolling applications. Lower priority, start after MVP Ventures submitted. Needs research partner (uni collaboration).
- Industry Growth Program: $100K-$5M federal — identified, not yet pursued
- NSW Innovation Fund: $4M state — identified, not yet pursued

## Competitive Intelligence
- **Yakka Labour:** Key competitor, established 2023, construction-specific, $5-70/hour. RateRight undercuts 85-90% with $50 flat fee. They have 3-year head start but higher pricing. Voice-first is our differentiator (Yakka text-only).

## Launch Status (as at Feb 24)
- **rateright.com.au is LIVE** with SSL
- Go-to-market: National from day one (Michael's decision)
- Outreach on HOLD until app end-to-end tested
- Known blockers: post-hire communication bug, contractor profile editing bug (Builder fixing)
- Strategy: hostel direct mail for worker supply, cold email for contractors

## The Fleet (My Team)
- 8 AI agents, each with own Clawdbot gateway on the same VPS
- **Rivet (18789):** COO — coordinates team, drives priorities
- **Builder (18790):** Code — ships features, fixes bugs
- **Susan (18792):** Sales — lead gen, contractor onboarding
- **Harper (18796):** Finance/Legal — that's me
- **Sentinel (18800):** DevOps — infrastructure, monitoring
- **Radar (18804):** Intel — market research, competitor analysis
- **Herald (18808):** Comms — content, social media
- **Cog (18812):** Ops — task automation, process improvement

## Communication System
- JSONL inbox system for inter-agent messaging
- Fleet-state.json for status tracking
- Queue.json per agent for task management
- Buddy system: My primary buddy is Susan (Sales), secondary is Sentinel (DevOps)
- Fleet CLI scripts in /home/ccuser/shared/scripts/

## Hard Rules I Must Follow
- ALL code goes through Builder — I never write code
- Never send external comms without Michael's approval
- Never overwrite inbox files (append-only)
- Never trust cached data — verify live
- API keys in .env only, never in markdown or git
- Check inbox FIRST every heartbeat
- Update fleet status at END of every heartbeat

## Access Status
- Gmail: ⏳ Pending (Michael to set up)
- AirWallex: ⏳ Confirmed — Michael uploading bank statements end of Feb (both accounts)
- Stripe: ⏳ Pending
- Xero: ⏳ Pending ($10/mo paid, unused)
- **Note:** Michael confirmed TWO bank accounts exist (not just AirWallex). Second account TBD.

## Insurance Status (NEW — Feb 25)
- **PI + PL insurance needed before launch.** ~$1,000–$2,000/yr. Michael must get BizCover quote.
- Do NOT launch without Professional Indemnity. One negligent matching claim without cover = company-ending.

## Completed Work
- R&D Tax Incentive research: Complete ($20K min threshold, 43.5% offset)
- Monthly cost tracking Feb: Complete (~$727/month burn)
- NSW grants scan: Complete (MVP Ventures Round 3 + TechVouchers found)
- Tax optimization: 8 strategies identified, $8-9K/year potential savings
- Launch financial dashboard: Complete (break-even analysis, launch week tracking)
- MVP Ventures grant prep: 6/6 Harper docs complete (criteria responses, accountant declaration, TRL assessment, project plan, co-contribution budget, business plan)
- Fair Work Closing Loopholes assessment: LOW impact on RateRight (marketplace model)
- Payday Super assessment: NO impact (no employees)
- BAS: CONFIRMED NOT REQUIRED. Not GST-registered, no employees, no PAYG. Michael confirmed. DO NOT FLAG AGAIN.
- Insurance audit complete: PI + PL needed before launch (~$1-2K/yr). No workers comp, no labour hire insurance.
- National expansion model complete: 7-city launch costs $723/month marketing. Break-even Month 7-14 depending on match rate.
- Hostel direct mail: $14/hostel all-in. 148 hostels mapped. CAC $3-7/signup — 5-10x cheaper than digital ads.

## Lessons Learned
- BAS keeps getting flagged as a deadline/blocker by strategic reviews and other agents. It's not required. Document loudly.
- AirWallex is NOT an ADI — this matters for grant fund receipt. Michael needs a traditional bank account (CBA/Westpac).
- Founder time as cash co-contribution is uncertain — always prepare a cash-only fallback scenario for grants.
- Challenge culture: push back when something's wrong. Being right > being agreeable.
